1. Introduction
These Terms and Conditions (“Agreement”) are made between you (the “Host,” “you,” “your”) and ROTOR Network (“ROTOR Network,” “we,” “us,” “our”). By accessing and using our platform to host on-hold audio advertisements, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must not use our services.
2. Services
ROTOR Network offers businesses and call centers the ability to host and play audio advertisements on their phone systems during hold times and call queues. Hosts (call centers or businesses) will download approved advertisements from ROTOR Network’s platform and upload them onto their own phone systems for on-hold and call queue playback.
3. Host Responsibilities
- Ad Content: Hosts are responsible for ensuring that the audio advertisements they play comply with ROTOR Network’s content guidelines. You must not alter or modify the content in any way.
- Ad Playback: As a host, you agree to play the advertisements provided by ROTOR Network during on-hold times, queue times, or any other available moments as specified. Ads should not be skipped or muted.
- Ad Rotation: Hosts must ensure that ads rotate in accordance with the ad campaigns provided to them. Hosts should upload and use the audio files as instructed and should only use the files for the purpose of on-hold ad play.
- Technical Requirements: Hosts must have the necessary technical capabilities (such as VoIP, PBX systems, or compatible phone systems) to play ads from the ROTOR Network platform.
Clause on Ad Playback Commitment:
Hosts are required to ensure all advertisements on their on-hold playlists are played in full as much as possible. If a caller resumes the call before an ad is completed:
- Advertisements 60 seconds or shorter: These ads are treated as ‘duds’ and will not count toward the advertiser’s quota.
- Advertisements longer than 60 seconds: These ads will count toward the advertiser’s quota, and hosts will receive payment for partial playbacks. Hosts are encouraged to monitor ad lengths and ensure playlists meet the average hold times of their systems to maintain fairness to advertisers and maximize earnings.
Clause on Promotional Content:
As part of ROTOR Network’s commitment to growing your revenue potential, we reserve the right to place occasional promotional advertisements for ROTOR’s service within your on-hold playlist at no cost. These ads will only be added if there is available space in your playlist and will be designed to attract advertisers. By increasing the number of advertisers using ROTOR, we aim to create more revenue opportunities for you the host. These promotional ads will not conflict with existing paid advertisements on your playlist.
4. Payment Terms
- Revenue Sharing: Hosts will receive a 50% revenue share of the ad income for each ad play. The remaining 50% will go to ROTOR Network.
- Ad Plays & Payments: Hosts will be paid based on the number of ad plays. Payments will be calculated as follows:
- 1 cent per second of ad play, split evenly between ROTOR Network and the Host.
- Payment Frequency: Hosts will receive payments once their ad plays have been reached / exceeded and the corresponding revenue has been confirmed. Payments will be made once the ad campaign has concluded, unless otherwise agreed.
- In markets where currency conversion is necessary, the equivalent amount will be calculated based on the current exchange rate at the time of payment, to ensure fairness across different currencies.
- Payment Method: Payments will be made via Stripe or bank transfer. You are responsible for providing accurate payment details.
5. Ad Campaign Buffer Time
5.1 Purpose of Buffer Time
To ensure the agreed number of ad plays is achieved within the campaign duration, ROTOR Network employs a 20% buffer time. This buffer accounts for variability in playback across systems and ensures advertisers’ expectations are met.
5.2 Payment for Ad Plays
Host payments are calculated based on the agreed number of ad plays, as detailed in Section 4 above [Payment Terms]. Payments will not increase to account for the additional 20% buffer time or volume since this buffer is a built-in mechanism of the service.
5.3 Host Acknowledgment
By agreeing to these Terms, hosts acknowledge that the 20% buffer time is necessary for ensuring ad campaign completion and does not constitute grounds for additional compensation beyond the agreed revenue share of 50%.
6. Ad Content Approval
- Ad Approval: All ads submitted by advertisers will be reviewed by ROTOR Network to ensure they meet content guidelines. As a host, you agree to use only the ads that have been approved by ROTOR Network for your system.
- Content Guidelines: Ads that contain inappropriate, offensive, misleading, or otherwise prohibited content (such as illegal activities, hate speech, etc.) will not be approved for playback. Hosts will be notified if an ad violates these guidelines.
7. Ad Upload & Integration
- File Upload: Hosts will receive audio ads in MP3 format unless their phone system only uses wav files, and will be required to upload the ads into their phone systems. Instructions for uploading will be provided by ROTOR Network if needed.
- Technical Support: ROTOR Network will provide basic technical support for hosts experiencing issues with ad uploads or playback. However, hosts are responsible for ensuring their systems are compatible and functioning correctly.
- System Compatibility: Hosts must ensure that their phone systems support MP3 (or sometimes wav) file formats and allow for the playback of ads during on-hold times or in-call queues.
8. Campaign Duration & Termination
- Campaign Duration: The length of time that ads will be played on your system will depend on the advertiser’s campaign. Hosts are required to play ads for the duration of the campaign, unless the campaign is terminated early or the host opts out.
- Termination: Hosts may opt to stop playing ads at any time by notifying ROTOR Network.
- Suspension of Ads: ROTOR Network reserves the right to suspend or terminate any ad campaign for any reason, including violation of these terms. If your account is suspended, you will be notified, and your account may be reinstated once the issue is resolved.
9. Intellectual Property
- Ownership: ROTOR Network retains broadcast rights to the ads provided to hosts. Hosts are granted a non-exclusive license to use the ads solely for the purpose of on-hold ad play and for the duration of the campaign.
- Usage Restrictions: Hosts agree not to redistribute, alter, or reuse the ads outside of the specific ad campaign without express written permission from ROTOR Network.
10. Liability
- Limitation of Liability: ROTOR Network will not be liable for any issues related to ad playback, such as technical failures, interruptions in service, or any direct or indirect losses or damages to the host’s business.
- Host Liability: Hosts are responsible for ensuring that their systems are set up correctly to play the ads and for ensuring that ads are not skipped, muted, or altered in any way. ROTOR Network is not liable for any errors caused by the host’s phone system or technical setup.
11. Confidentiality
- Confidentiality: Both parties agree to maintain the confidentiality of any sensitive information exchanged during the course of this Agreement. This includes information related to advertising campaigns, payment details, and any proprietary data.
12. Amendments
- ROTOR Network reserves the right to update or modify these Terms & Conditions at any time. Any changes will be communicated to hosts, and continued use of the services will constitute acceptance of the modified terms.
